Terms of Use and Subscription Terms

1. Provider and business-customer scope
Perfect Cut is provided by Andreas Ehrhardt, trading as PurePortal, Hohenzollernstraße 17, 72172 Sulz am Neckar, Germany (PurePortal). These terms govern accounts, teams, subscriptions and use of Perfect Cut unless a signed Enterprise agreement expressly takes precedence.
Perfect Cut is offered exclusively to entrepreneurs within Section 14 BGB, legal persons under public law and special funds under public law. By creating an account or buying a plan, the customer confirms that it acts for its trade, business or independent professional activity and that the acting person is authorised to bind the customer. PurePortal does not conclude consumer contracts through the self-service service. A false business confirmation does not remove any mandatory right that legally applies.
2. Service
Perfect Cut is hosted software for managing material, teams and cutting projects and for calculating cutting plans, production data and quotes. Available functions and limits depend on the selected plan. PurePortal may maintain and develop the service where this does not remove an essential paid function without an objectively justified reason.
Perfect Cut does not sell physical goods and does not perform electrical, installation, manufacturing, engineering or safety services. Calculation and quote outputs are planning aids. The customer must verify dimensions, kerf, tolerances, material, machine settings, prices and all safety or regulatory requirements before purchasing material or starting production. The service is not a substitute for a qualified trade professional or engineer.
3. Accounts and teams
- Account information must be accurate and kept current. Personal credentials and API keys must not be shared.
- A team administrator may invite users, assign permissions, configure identity providers and act for the customer. The customer is responsible for its users and for removing access when it is no longer required.
- The customer must protect credentials, use appropriate access controls and notify support promptly of suspected unauthorised access.
- Users may belong to more than one team. Team data belongs to the customer that controls that team, not to an individual user.
4. Contract formation and order process
For a free account, the customer submits an offer by completing registration, confirming business use and accepting these terms and the data-processing agreement. The contract is formed when PurePortal activates the account or confirms acceptance.
For a self-service paid plan, an authorised team member selects the plan and seat quantity, reviews the recurring price and confirmations, and continues to Stripe-hosted checkout. Inputs can be corrected before submission in Perfect Cut and again in checkout. PurePortal remains the seller, service provider and contracting party. Managed Payments is provided by Sold through Link LLC (Link), which acts as merchant of record and payment-collecting agent for the transaction but does not become the seller of Perfect Cut. The paid contract is formed when PurePortal accepts the order through the electronic subscription confirmation; these terms are accepted before checkout opens.
The checkout and contract are available in German and English. The customer can save or print these terms from the browser. Perfect Cut records the accepted document version. Link and Stripe provide electronic payment confirmations, receipts and tax invoices for transactions covered by Managed Payments. Any document that PurePortal must issue outside that scope is issued in PurePortal’s name.

The displayed catalog amounts are tax-exclusive base amounts. For self-service Managed Payments transactions, Link determines, collects and remits applicable indirect tax where the customer jurisdiction is covered. Checkout shows the binding currency, applicable tax, total amount, payment timing and available payment methods before payment is submitted. PurePortal does not add a separate tax charge.
PurePortal currently uses the German small-business exemption under Section 19 UStG for supplies that PurePortal invoices itself where the exemption legally applies; such an invoice does not state VAT separately and includes the required notice. This status does not make tax charged by Link as merchant of record zero. Link may collect and show VAT or another indirect tax based on the customer and transaction. For a jurisdiction or transaction outside Link’s Managed Payments tax coverage, PurePortal remains responsible for any tax treatment it must apply.
The first recurring charge is due when the order is accepted. Later monthly charges are due at the start of each renewal period and are collected through Link using the stored payment method. The customer must supply correct billing, business and tax information and keep it current.
6. Term, renewal and cancellation
Self-service paid plans run monthly and renew automatically for another month until cancelled. The billing screen or Stripe-hosted customer portal shows the renewal date. The customer may cancel before renewal in the customer portal; cancellation normally takes effect at the end of the current paid period. A customer may close a free account at any time through the account controls or support. Enterprise terms follow the signed offer.
PurePortal may terminate a free account on 30 days’ notice. Either party may terminate for cause without notice, including a material breach that is not remedied within a reasonable cure period where a cure is possible. PurePortal may suspend only the access reasonably necessary to address a security risk, unlawful use, non-payment or a serious breach and will give notice where legally and practically possible.
7. No returns and refunds
There are no physical goods to return. Because self-service contracts are restricted to business customers, there is no statutory consumer withdrawal right. PurePortal does not offer a voluntary refund or exchange merely because the customer no longer needs an activated subscription period or additional seat. Cancellation stops future renewals and does not by itself refund the current period. Link may nevertheless issue a refund under its Managed Payments terms, including at its discretion within 60 days of purchase.
This does not exclude mandatory rights, agreed service credits, or remedies for non-performance or a defect. PurePortal may ask Link to process a refund where legally required or agreed by PurePortal. If a person legally qualifies as a consumer despite the business-use restriction, no mandatory withdrawal, conformity, warranty or other consumer right is waived by these terms.
8. Customer data and content
The customer retains its rights in project, material, quote, configuration, logo and catalog data. It grants PurePortal the limited rights needed to host, process, secure, back up and transmit that data to provide the service. The customer warrants that it has the required rights and a lawful basis for personal data it uploads or shares.
PurePortal processes personal data in customer-controlled team content as processor under the Data Processing Agreement. PurePortal remains an independent controller for account administration, service security, billing, legal compliance and its own business communications.
9. Acceptable use
- Do not use the service unlawfully, infringe rights, upload malicious code, probe security, evade limits or interfere with other customers.
- Do not use automated access except through documented interfaces and authorised API keys, or in a way that unreasonably burdens the service.
- Do not publish confidential, unlawful, misleading or rights-infringing material through shared catalogs.
- Do not resell or provide the service to third parties unless a written agreement allows it.
11. Availability and changes
PurePortal aims to provide reliable access but does not promise uninterrupted availability unless an Enterprise agreement contains a service level. Maintenance, security incidents, internet or provider failures and force majeure may interrupt the service. PurePortal will use reasonable efforts to restore it and, where practical, announce planned material maintenance.
12. Defects and statutory remedies
The customer must report reproducible defects with enough detail for investigation. PurePortal may remedy a defect by correction, workaround or replacement performance. Statutory rights for defects and non-performance remain available subject to the B2B limitations permitted by law and the liability clause below. No clause excludes fraudulent concealment, an expressly guaranteed quality or mandatory statutory remedies.
13. Intellectual property and feedback
PurePortal and its licensors retain all rights in the software, user interface, documentation and optimisation methods. During the contract, PurePortal grants the customer a non-exclusive, non-transferable right for its authorised users to access the service for the customer’s internal business purposes. Feedback may be used without restriction provided it does not disclose customer confidential information.
14. Confidentiality
Each party must protect non-public information identified as confidential or reasonably understood to be confidential, use it only for the contract and disclose it only to personnel and providers who need it and are bound to confidentiality. This does not cover information already lawfully known, public without breach, independently developed or lawfully received from a third party. Legally compelled disclosure remains permitted after notice where lawful.
15. Liability
PurePortal is liable without limitation for intent and gross negligence, injury to life, body or health, liability under the Product Liability Act, guarantees expressly assumed, and other liability that cannot legally be limited. For slight negligence involving a material contractual duty, liability is limited to the typical damage foreseeable when the contract was made. Otherwise liability for slight negligence is excluded. These limitations also apply to representatives and agents and do not shift liability that mandatory law assigns differently.
The customer remains responsible for production decisions and for reasonable backups or exports of business-critical data. A contributory failure to verify calculation inputs or outputs is considered under the statutory rules.
16. Switching and data portability
The customer may export available datasets during the contract and may request a complete exit package and switching assistance. The written switching terms, exportable data and digital assets, formats, limitations, notice and transition periods, retrieval period, erasure procedure and charges form part of these terms through the Data Portability and Switching Register.
17. Changes to these terms
PurePortal may change these terms for future contracts. For an existing contract, PurePortal may propose changes required by law, security or service development where the change is reasonable and does not disturb the contractual balance. Material changes are notified in text form before they take effect. Where consent is legally required, continued use alone is not treated as consent; PurePortal will request express acceptance or leave the existing terms in place until lawful termination.
18. Law and venue
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If the customer is a merchant, legal person under public law or special fund under public law, the courts competent for PurePortal’s place of business have jurisdiction; PurePortal may also sue at the customer’s place of business. Mandatory exclusive venues remain unaffected. If one provision is ineffective, the remaining contract remains effective and the statutory rule applies in its place.
